Tiếp theo sau đó là triết lý đầu tư của tác giả trong vai trò Tổng giám đốc Hội đồng đầu tư Vinacapital bao gồm 20 rules:

1. Ensure management and key stakeholders' interests align with your own
2. A carrot without a stick is useless: cash rebate, put option, share top-up (% top-up = % budget short) and drag-along rights
   
3. Trust in management: their experience is key
4. Never invest in a subsidiary
5. Never build a greenfield hotel..
6. .. or build a hospital
7. Avoid export businesses and body shops
8. Never buy anything from another healthy fund or financial investor (so who buy from Vinacapital also idiots??)
9. Never invest in a company belonging to your friend or your enemy >> vì giải thích các khoản sticks ở trên thì friendship over.
   
10. No money out >> sponsor có tiền thì thường buy lands, gambling, golf and mistress (quantify được $5k/tháng luôn, ghê ghê)
    
11. Trust but verify >> sections này thể hiện việc tác giả hiểu rõ lề thói đầu tư ở Việt Nam. Good
• Do not believe in the memories of entrepreneurs: nên có independent boardmembers
  
• Get official documents for all transactions: giải thích chop and notarised thôi
  
• Perform health and background checks on key executives >> sponsor die suddenly
  
• Husbands and wives do get divorces >> business divorce also , like Trung Nguyen and King
  
• When in doubt, put it in the assumption section of the letter of intent of term sheet >> uhm, ko mới
  
• Any promise can be broken of not written down in a signed documents >> để kiện thì có cái xử lý
  
12. Always have an exit clause even if penalty: same stick rule
    
13. Control your money: kinh nghiệm từ deal bank mà để tiền escrow bank tại chính sponsor bank
    
14. Think 3 times when exercise a convertible loan: limit exit options if converted
    
15. Don't take control, use drag-along right

  Các rules trên được đúc kết trong quá trình hoạt động của Vinacapital, nên có những rules sẽ không phù hợp với mẫu số chung. Dù vậy, một số rules rất hay mà các deal cần học hỏi đối với P/E deals như drag-along and exit clause. Vì chung quy lại, đầu tư chỉ thật sự biết lời bao nhiêu khi exit, nếu không chỉ là paper profits.

Dù sao câu kết luận vẫn là: no market for investing more exciting than Vietnam

And always remember 3 rules: 

• align interest
• document as much as possible
• have exit strategy from begining
